Offer Details
Placement of circa 680 million New Securities, at $0.0025 per security, to raise up to circa $1.7 million (“Placement" or the "Offer”).
Participants in the Placement will receive free attaching unlisted options on a one (1) for one (1) basis on allocated Securities (“Attaching Options”). The Attaching Options will have an exercise price of 0.5 cents and will expire 2 years from issue. It is the Company’s intention to seek quotation of the Attaching Options on the ASX subject to meeting minimum spread requirements.
Approximately 300 million New Securities at an issue price of A$0.0025 per Security to raise approximately A$750,000 ("Unconditional Offer"); in accordance with Listing Rule 7.1 and 7.1A; and
Approximately 380 million New Securities at an issue price of A$0.0025 per Security to raise approximately A$950,000 that are subject to prior shareholder approval at a general meeting of the Offeror’s shareholders (“General Meeting”) to be held in September ("Conditional Offer").
Included in the Conditional Offer, directors and executives of the Company have committed to apply for $150,000 (60 million Securities) on the same terms as the Placement, subject to shareholder approval being obtained at the General Meeting.
The Company also intends to announce a $300,000 Share Purchase Plan to existing eligible shareholders on the same terms as the Placement (“SPP”, together with the Placement being the “Offer”). This communication relates only to the Placement and does not relate to the SPP. The Placement and SPP are not underwritten.
